BEAT LAB TERMS AND CONDITIONS

THIS AGREEMENT

This Beat Lab Terms and Conditions, as amended from time to time, (“Agreement”) is between Beat Lab, Inc., a California corporation with its principal place of business at 2501 Colorado Blvd Ste B, Los Angeles, CA 90041 and its affiliates (“Beat Lab Academy” or “we” or “us”) and you (“you” or “Student”).

This Agreement includes three parts: (Part I) Privacy Policy; (Part II) Student Privacy Policy; (Part III) Student Conduct; (Part IV) Enrollment; (Part V)

NO LIABILITY OR WARRANTY ON EQUIPMENT; and (Part VI) Terms & Conditions, which are all incorporated herein.

If you are under 18 years old you will need the signed permission of your parent/guardian to enter into this Agreement and/or register for Beat Lab online or in-school courses.

You hereby agree that you have read and downloaded, saved, and/or printed a copy of this Agreement for your records.

PART I – PRIVACY POLICY

Beat Lab Inc. (“we”, “us”, “our”) owns and operates the website located at www.beatlabacademy.com (the “Site”). This Privacy Statement explains how we collect, use and disclose personal information we collect online from visitors to our Site.

1. INFORMATION COLLECTED. We may collect and use the following types of personal information: your name, age, sex; credit card or bank account information; information regarding your use of the Site; orders you place; registration information; information that you browser sends whenever you visit the Site; and any other information you provide to us. You do not need to register or provide us with any personal information in order to visit and view the Site. However, if you wish to receive newsletters, make a purchase, enter any contest, or participate in certain other Site activities, you may be asked to register and/or submit certain personally identifiable information. Such information may include your name, e-mail address, street or postal address, telephone number, password, and credit card billing or other payment information.

 

2. LOG DATA When you visit the Site, our servers automatically record information that your browser sends whenever you visit a website (“Log Data”). This Log Data may include information such as your IP address, browser type or the domain from which you are visiting, and any links on which you click. We use Log Data to monitor the use of the Site and for the Site’s technical administration, such as to optimize use with your particular browser software and. We may also use Log Data to detect fraudulent use practices on the Site. We do not associate your IP address with any other personally identifiable information to identify you personally, except in case of violation of the Site’s terms and conditions.

3. COOKIES Like many other websites, we may also use “cookies” to collect additional website usage data and to improve the Site and its functionality. A cookie is a small data file that we transfer to your computer’s hard disk. We do not use cookies to collect personally identifiable information. You can stop accepting cookies by setting your Internet browser accordingly, but this will likely result in our not recognizing you or your preferences on future visits. Third party ad networks may display banner or other advertising to you, and no personally identifiable information about you is collected but other information (such as the service provider connecting you to the Internet, your operating system and browser type) may be collected and used to personalize advertisements.

4. USE OF INFORMATION We may use your personal information for a variety of purposes related to the Site, such as to administer the Site, personalize the Site for you, process any purchases and payments and fulfill any orders, and process any contest entry you may make through the Site. We may also use it to contact you in the future regarding the Site, including through marketing communications, and regarding any other of our or of our business partners’ contests, products and services that we think may interest you. If you contact us by e-mail or regular mail, we may keep a record of your contact information and correspondence, and may use your e-mail or street address and any information that you provide to us in your message in order to respond to you. We may also use information collected to evaluate and improve the Site and the user experience or our other products and services.

5. SERVICE PROVIDERS We may engage certain trusted third parties to perform functions and provide services to us, such as hosting and maintenance, database storage and management, advertising sales, e-mail marketing, e-commerce functions and credit card/payment processing. We will share your personally identifiable information with these third parties to the extent necessary for them to perform these functions and subject to their agreement to maintain the privacy and security of your data.

6. COMPLIANCE WITH THE LAWS AND LAW ENFORCEMENT Our policy is to cooperate with government and law enforcement officials and, in certain circumstances, private parties to enforce and comply with the law. We may disclose your personal information to government or law enforcement officials or private parties to the extent we determine, in our sole discretion, is necessary or appropriate in connection with any actual or prospective legal proceedings (including subpoenas) or to establish, enforce or defend our legal rights and interests or the safety of the public or any person, to prevent or stop any illegal, unethical, or legally questionable activity, or to otherwise comply with applicable court orders, laws, rules and regulations.

7. CHANGING OR DELETING INFORMATION You may at any time request to see and update or correct the information you have provided to us by e-mailing us at [email protected].

8. SECURITY Safeguarding the confidentiality and use of your personally identifiable information is very important to us. We employ reasonable administrative and technical measures designed to protect your information from loss, misuse, alteration or unauthorized access. We store all personal information you provide via the Site on secure servers, and information relating to electronic transactions you enter into via the Site are protected by encryption technology.

9. THIRD PARTIES & LINKS TO OTHER SITES Our Site may contain advertisements and links to other web sites. This is not an endorsement, authorization or representation of any affiliation with those advertisers or the operators of those web sites. We do not exercise control over third party web sites. They may place their own cookies or other files on your computer, and collect or solicit both personally identifiable and non-personally identifiable information from you. Other web sites have their own privacy policies and practices and we encourage you to carefully read the privacy policies or statements of the other web sites and services you visit.

10. OUR POLICY TWARDS CHILDREN If a child we know to be under the age of 13 wishes to contact us through the Site with a one-time question, we will only ask for a first name and e-mail address together with the name and address of a parent or legal guardian. We will use such information only to respond to the question, will copy the parent or guardian on all correspondence, and will delete all information afterwards.

Otherwise, we do not knowingly permit registration or purchases by, or collect personally identifiable information from, children under 13. If we become aware that a child under 13 has provided us with personal identifiable Information, we will delete it from our files. If any parent or guardian becomes aware that their child under the age of 13 has provided us with personally identifiable information without their consent (or that we have otherwise collected or obtained such information), please contact us at [email protected].

Site visitors between the ages of 13 and 17 should ask their parents for permission before sending any information about themselves to us (or to anyone) over the Internet, and absolutely must have their parent’s consent before using a credit card.

11. UNSUBSCRIBING/OPT-OUT All e-mails you receive from us will include specific instructions on how to unsubscribe (or “opt-out” from receiving further communications from us, and you may do so at any time.

12. CHANGE OF POLICY We reserve the right to modify this Privacy Statement from time to time, and we will notify you of any material changes by posting the new Privacy Statement here and changing the effective date above. We may also send our registered users an e-mail advising that changes have been made. Each version will apply to information collected while it was in place. Therefore, we encourage you to check this page periodically for any changes.

13. CHANGE IN OWNERSHIP In the event we change ownership or merge with another entity, we reserve the right to transfer or sell all user and customer information, including names and email and postal addresses, to a separate entity.

 

PART II – STUDENT PRIVACY POLICY

By enrolling as a Beat Lab student you are accepting the practices described in this privacy notice.  This Student Privacy Policy applies to information collected through Beat lab’s websites (“Site”), via mail, telephone, email, in person, or otherwise.  By doing business with or interacting with Beat Lab in the manner described in this Student Privacy Policy at any time you are accepting the practices described in this Student Privacy Policy and you expressly consent to the application of this Student Privacy Policy to the collection, storage, use and disclosure of all your personal information as described.

We may offer services, classes & Workshops tailored for children, however said services and/or classes are to be purchased by adults. PART III – STUDENT CONDUCT

1. STUDENT REQUIRED COMPUTER SKILLS. You must have a basic level of computer acumen to participate in the Beat Lab classroom, studio, workshop or private lesson activities. Any student that does not have a high enough level of computer acumen to participate may be removed, in Beat Lab’s sole discretion, and the student will be refunded based on Beat Lab’s refund policy. If you are unsure whether you have the requisite computer skills to participate in any given course, please contact the Beat Lab’s main office.

2. STUDENT CLASSROOM CONDUCT.  You must act in a professional and non-disruptive manner during Beat Lab classroom, studio, workshop or private lesson activities. The instructor or other Beat Lab personnel, at their sole discretion, may remove or expel you from any Beat Lab classroom, studio, workshp or private lesson activity if the student fails to act in a professional or non-disruptive manner.

3. ACADEMIC REQUIREMENTS. Beat Lab requires that all students make a good faith effort to actively participate in class, hand in assignments on time, and complete required homework assignments – as well as completing included Level private lessons before the end of the Program (included private lessons will be void after graduation). This requirement assures that a student’s failure to stay active and updated will not slow the pace of class and negatively affect the experience of other students. Any student that negatively affects their classmates due to that student’s failure to make a good faith effort to actively participate in class, hand in assignments on time, and complete required homework assignments, may be removed or expelled from class, in Beat Lab’s sole discretion, and that student will be refunded based on Beat Lab’s refund policy.  Additionally, in order to receive a certificate of completion for any of the Beat Lab certificate programs, students are required to attend at least 75% of classes and pass a Beat Lab certification test held for each. This requirement applies to each individual Production Course on a per Level basis as each Level can be taken individually and independent of each other (student must attend 75% of classes in each Level taken).

4. STUDENT QUESTIONS, CONCERNS, AND COMPLAINTS. All students are encouraged to discuss concerns, academic issues, or complaints with the Beat Lab staff and faculty. The student should address any problems involving classroom or academic matters with the faculty member involved with that academic matter, and if such problem is not resolved, then the student should address the problem with Beat Lab’s management. If the student has any questions or concerns about non-academic matters, such matters should be discussed with Beat Lab’s main office.

5. ABSENCE Absence from a scheduled session (or number of sessions) will not give rise to any right of re-scheduling or refund. If you are unable to attend a session, please let us know as far as possible in advance and if practicable we will use reasonable absence to provide to you the missed information.

6. STUDENT DISCIPLINARY ACTION. If you violate this Student Code of Conduct, Beat Lab may, in its sole discretion, permanently expel you from current or future courses or temporarily remove you from a current course (including private lessons and workshops). A student that has been expelled will no longer be permitted to enter any Beat Lab property. Any money paid or owed to Beat Lab by the student will be refunded based on Beat Lab’s refund policy.

7. THEFT OR DAMAGE TO SCHOOL OR STUDENT PROPERTY. If it is discovered by Beat Lab that you have been involved in any actual or attempted unauthorized taking, use, misappropriation, or damage to property owned or maintained by Beat Lab, a student of the school, any person or visitor on campus, or any person attending a Beat Lab-sponsored event, you will be in breach of this Agreement, will have violated this Student Code of Conduct, and may be prosecuted to the fullest extent permitted by law. In Beat Lab’s sole discretion, you may be expelled, held responsible for any financial damages, and will receive no refund for any money paid or owed to Beat Lab.

8. HARASSMENT POLICY. Harassment by any student, employee, faculty member, contractor, or guest of Beat Lab is not permitted at Beat Lab. Harassment includes verbal, physical, or sexual conduct that disrupts or interferes with another’s performance or safety or that creates an intimidating, offensive, or hostile environment. Harassment should be immediately reported to Beat Lab’s main office. If it is discovered that you have been involved in the harassment of any other student, employee, faculty member, contractor, or guest of Beat Lab, you will be in breach of this Agreement, will have violated this Student Code of Conduct, and may be prosecuted to the fullest extent permitted by law. In Beat Lab’s sole discretion, you may be expelled, held responsible for any financial damages, and will receive no refund for any money paid or owed to Beat Lab.

9. USE OF BEAT LAB PROPERTY Each student is responsible for ensuring that no Beat Lab equipment or property is damaged, lost or stolen as a direct or indirect result of their own action or failure to act appropriately. Each student is also responsible for the actions and omissions of any guests they may invite on to the Beat Lab Campus.In the event that any Beat Lab equipment or property is damaged, lost or stolen as a direct or indirect result of negligent action or failure to act appropriately by any student or guest, the student agrees to pay all reasonable costs in full including replacement or reparation of such damaged property. For the avoidance of doubt, no Beat Lab property may be removed from the premises without the express prior consent of Beat Lab in each case.

10. ALCOHOL & DRUG POLICY. Alcohol or drug use and/or being under the influence of drugs or alcohol is not permitted on Beat Lab property. Students in violation will be dismissed and may be expelled. Classes are collaborative, immersive learning environment, and students should be attentive and exhibit participatory behavior.

11. SMOKING. You may not smoke or vaporize inside or immediately in front of Beat Lab’s facilities or property.

12. FOOD OR DRINK POLICY. No food or drinks are allowed in the classroom or studios. Food and drink may be consumed in the Front Lobby.

13. DRESS CODE. The learning environment is a professional one. Please dress accordingly.

14. CHANGE OF CLASS TIMES. Beat Lab may, in its sole discretion, change and adjust class times. Beat Lab will give students as much advance notice as possible if Beat Lab changes class times. If a change in class times results in you not being able to attend such class, Beat Lab will refund you for the remaining number of classes.

15. ONLINE CLASS WI-FI ISSUES. In the event there is a Wi-fi interruption with a Beat Lab teachers’ connection to the point that it causes the majority of a class or a full class to be missed, Beat Lab will in good faith speak with all members of the class and find the best time to reschedule.

16. RIGHT TO MOVE STUDENT INTO PRIVATE LESSONS. Beat Lab may, in its sole discretion, move you out of a class and into private lessons if you are not able to keep pace with the class or are being disruptive to the class. In the instance that you are moved into private lessons, Beat Lab will apply the balance that you paid for the class to the private lessons. You may not voluntarily move from a class into private lessons or use its tuition as credit for private lessons, unless otherwise agreed by Beat Lab.

17. RIGHT TO CHANGE THIS STUDENT CONDUCT AGREEMENT. Beat Lab may, at any point, change, alter, revise, or amend this Student Conduct Agreement. Any such revisions shall be binding on you. You shall have the obligation to periodically review this Student Conduct Agreement.

 

PART IV – ENROLLMENT

1. PAYMENT OF COURSE FEES & ENROLLMENT. You may enroll in any of the Music Production Programs independently of each other, and in any order. A down payment of $875 will secure your enrollment in any one of the Programs Courses. Payment is due one week before class starts for any Program. If you choose to make a $875 down payment and then complete payment for a Program *before the Program starts* the second payment is equal to the remaining balance of $920. Otherwise, you will incur a $55 payment plan fee and pay an increased remaining balance of $975 before Week 4 of the program enrolled. 

Enrollment is allowed to any of the music production programs, and programs can be taken in any order. If you decide to submit down payments for any other programs in addition to your initial down payment then your enrollment will be secured for all programs paid in advance. You can opt to continue the $875 + $920 (or $875 + $975) payment plan for each subsequent level taken.

2. COURSE WITHDRAWAL & REFUND POLICY.  If you need to withdraw from your course then you must notify Beat Lab in a writing (email acceptable and preferred) that is actually received by Beat Lab.

All refunds are subject to a two hundred and fifty USD ($250.00 USD) processing fee and may take up to thirty (30) days to process.

Refunds will be subject to the following terms: (i) For all refund requests made at least seven (7) days prior to the beginning of the first class or program, Beat Lab will refund seventy five percent (75%) of the total cost of the course or program from which the Student is withdrawing; (ii) For all refund requests made less than seven (7) days prior to the beginning of the first class but before the beginning of the second class, Beat Lab will refund fifty percent (50%) of the total cost of the course or program from which the Student is withdrawing; and (iii) Any and all refund requests made after the beginning of the second class for a particular course or program are non-refundable.

If the Student chooses, it may withdraw from a course or program prior to the beginning of the second class without receiving a refund.  Under these circumstances, Beat Lab will make a good faith effort to provide a one-time rollover for your enrollment into a subsequent date that your course or program may be offered, but Beat Lab makes no representation whatsoever that any course or program will be offered at any particular time again in the future.

Students on Payment Plans in our Live Online or Online Certification Program (Self-Pace) who wish to withdraw from class are responsible to pay the full per course amount for any level (including the full amount of any previous levels the student was enrolled in) that has had it’s first class before a refund is requested. On top of the full price of the level(s), students are responsible for the full interest rate associated with their chosen Payment Plan.

Students on Payment Plans in any of our other classes will be subject to pay the full amount of their chosen course regardless of withdrawal.

Private Lessons Students must pay for their Private Lesson at least 48-hours in advance. If a lesson is not paid for at least 48-hours prior to the lesson’s start it will be considered a cancellation by the student. Any student canceling a Private Lesson must do so at least 24-hours in advance. If a lesson is canceled at least 24-hours in advance the student will be refunded the amount of the lesson minus our $25 cancellation fee. Any lessons canceled less than 24-hours in advance will not be refunded. Emergency circumstances for cancellation will be considered on a case-by-case basis. Private Lessons must be completed within 6 months of purchase.

Private Lessons: Level One-on-Ones Students are granted 2 free private lessons per Music Production Program (In-School Programs ONLY). One of those free lessons may be scheduled with a Teacher, and one lesson may be scheduled with a member of the non-teaching Staff. Students must utilize any and all free private lessons before the end of their participation in the Level(s) their active enrollment concludes with.

I.e. if a student enrolled in subsequent Level 1 & Level 2 class sections then they must use their lessons before the end of Level 2; if a student enrolled in subsequent Levels 1 – 4 they must use their lessons before the end of the Level 4.

Certification Program Certification Program enrollment expires 2 years after initial enrollment date and is non-refundable.

Online Certification Program We do not offer refunds for our Online Certification Program. All sales are final.

Beat Lab Live Online Programs We do not offer refunds for our Live Online Programs. All sales are final.

Online Learning Modules We do not offer refunds for our Online Learning Modules. All sales are final.

Merchandise purchases are non-refundable.

Beat Lab reserves the right to send overdue payments or refusal of payments to a collection agency.

Transfer Policy.  Beat Lab, in its sole discretion and only under extreme circumstances, may grant you a transfer from a course in which you are currently enrolled into another course currently offered at Beat Lab or another course offered at Beat Lab on a future date.  Transfers are only granted by Beat Lab under extreme circumstances and are subject to seat availability and the student’s skill level.  Beat Lab makes no guarantee of the ability to transfer or of seat availability in a subsequent course.  If a transfer is granted by Beat Lab, the transfer shall be subject to a one hundred and seventy five dollars ($175) processing fee.  You will not be refunded the difference of cost if you transfer into a less expensive course.  However, if you transfer into a more expensive course then you will be required to pay Beat Lab the difference in the price.

3. INTELLECTUAL PROPERTY.  All intellectual property rights in Beat Lab courses and course materials, whether in-class or online, including without limitation designs, copyrights, database rights, trademarks, patents, application to register any of the aforementioned rights, trade secrets and/or know how, are and shall remain the exclusive property of Beat Lab.  You may not, without the express written consent of Beat Lab, reproduce, copy, disseminate, broadcast, or otherwise use any intellectual property owned or controlled by Beat Lab, including any intellectual property contained in any course or/and workshop or/and private materials or trademarks used by Beat Lab.

During the course of studies at Beat Lab, you may create certain original musical compositions and/or sound recordings.  You hereby grant to Beat Lab a perpetual royalty free non-exclusive license to use, to the fullest extent of copyright law, any such musical compositions or sound recordings created during a Beat Lab classroom or online activity or created using Beat Lab equipment.

4. PUBLICITY & NAME & LIKENESS. During the time that you are a student at Beat Lab, persons may film or photograph you while you are on Beat Lab property.  You hereby consent to Beat Lab’s use of your name image, likeness, and voice in connection with Beat Lab as a music school.  You agree that any appearance in a photograph or video may be edited in Beat Lab sole discretion and that you may be portrayed in any way Beat Lab reasonably determines.  You expressly releases Beat Lab, Beat Lab’s agents, employees, licensees, subcontractors and assigns from and against any and all claims which you have or may have for invasion of privacy, defamation or any other cause of action arising out of production, distribution, broadcast, exhibition, marketing or promotion of the Beat Lab promotional material or other Beat Lab related materials in which you may appear.

5. LIMITATION OF LIABILITY. Beat Lab’s liability to you hereunder shall be limited to the total amount you have actually paid to Beat Lab for the applicable course. Except as set out herein, Beat Lab shall under no circumstances be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect or consequential loss arising hereunder or in connection with the courses and/or workshops and/or privates provided by Beat Lab or the use or operation of any Beat Lab equipment or facilities. Nothing in this Agreement shall operate to limit or exclude liability for death or personal injury caused by negligence. For the avoidance of doubt, Beat Lab shall not be liable for any loss or termination hereunder resulting from or arising in connection with any student visa status or other reason related to immigration. Beat Lab: (i) Accepts no responsibility for loss, damage or theft of personal belongings; (ii) Reserves the right to cancel courses at any time and to transfer bookings to rescheduled dates. Students unable to attend rescheduled dates may be entitled to some refund or other credit; and (iii) Takes no responsibility for the quality of services or products provided or offered by third party advertisers and/or vendors. Inclusion in the course materials or presence during a course is not a recommendation or endorsement by Beat Lab.

6. FORCE MAJEURE. For the purposes of this Agreement, “Force Majeure Event” means any event beyond the reasonable control of Beat Lab including without limitation strikes, lock-outs or other industrial disputes (whether involving the workforce of the party or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, including governmental visa status, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.  Beat Lab shall not be liable to you as a result of any delay or failure to perform its obligations under this Agreement as a result of a Force Majeure Event.  If the Force Majeure Event prevents Beat Lab from providing a course or other services promised to you for more than four (4) weeks, Beat Lab shall, without limiting its other rights or remedies, have the right to terminate this Agreement immediately by written notice.

 

PART IV – NO LIABILITY OR WARRANTY ON EQUIPMENT

1. EQUIPMENT.  “Equipment” shall mean any goods that you may purchase or receive from Beat Lab, www.beatlabacademy.com or its affiliate websites, such as musical equipment and controllers, computers, or other physical goods.

2. NO WARRANTY.  Beat Lab expressly excludes all warranties, express or implied, as to the Equipment being merchantable or fit for any particular purpose and all other warranties therein.

3. NO LIABILITY. Beat Lab hereby disclaims liability and you agree that and in no event shall Beat Lab be liable for any direct, indirect, incidental, consequential or special damages, including without limitation damages from injury, electrocution, fire, loss of revenue or profits, costs of labor, overhead, transportation, installation or removal of Equipment, or any damages from or attributable to your use of the Equipment.  This disclaimer shall apply whether or not Beat Lab has been made aware of the possibility of such damages.

PART V – GENERAL TERMS AND CONDITIONS

1. ASSIGNMENT. Beat Lab may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights under the Agreement and may subcontract or delegate in any manner any or all of its obligations under the Agreement to any third party.

2. WAIVER. If a court or any other competent authority finds that any provision of the Agreement (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Agreement shall not be affected.

3. AMENDMENTS. We reserve the right to modify this Agreement from time to time, and we will notify you of any material changes by posting the new Agreement on www.beatlab.com and changing the effective date above.

4. LAW AND JURISDICTION. This Agreement shall be interpreted in accordance with the laws of the State of New York, County of New York, applicable to contracts made and to be performed within the State of New York and without regard to the choice of law provisions therein.

5. ARBITRATION. Each party will promptly notify the other in writing of any dispute.  Each party’s designated representatives will meet within ten (10) days following the receipt of such written notice and will attempt to resolve the dispute within fifteen (15) days.  Any and all claims or disputes arising out of or relating to this Agreement will be resolved by binding arbitration under the Commercial Rules, but not the administration of the American Arbitration Association.  The arbitration will be conducted in New York, New York.  The laws of the State of New York (except its conflict of laws provisions) will govern the interpretation and enforcement of this Agreement and all disputes relating to this Agreement.  Within ten (10) calendar days of service of a demand for arbitration, the parties will agree upon a sole arbitrator.  If a sole arbitrator cannot be agreed upon, a panel of three (3) arbitrators will be named; each party will select one (1) arbitrator and the two (2) arbitrators selected by the parties will select a knowledgeable and impartial third arbitrator.  There will be no discovery during the arbitration other than the exchange of the information and documents, which shall be provided directly to the arbitrator(s) upon request and approval of specific discovery requests.  A final hearing shall be conducted within three (3) months of the appointment of the arbitrators.  If damages are awarded, the arbitrator(s) will only award compensatory damages and will not award punitive or other non-compensatory damages.  The prevailing party shall be entitled to recover reasonable attorney’s fees and costs associated with the action, including the prevailing party’s share of the arbitration fees (i.e., the prevailing party’s share of the sole arbitrator’s fees, or the cost/fee of the prevailing party’s arbitrator and it’s share of the third arbitrator appointed, if any).  The decision of the arbitrator(s) will be final and binding and may not be appealed.  A party may apply to any court having jurisdiction to obtain a judgment enforcing the decision of the arbitrator(s).  The parties may cancel or terminate this Agreement in accordance with its terms and conditions without following the procedures in this Section.
